1) Call Meeting to Order 605 (Michael)

2) Attendance and verification of quorum 7 of 7 board members present, Brian, Michael, Chase, Donella, Amanda, Louis, Marlene. Eydie also attending as officer. Michaele Saulino and Samantha Davis of TMT joined at 7 pm for a meet and greet.

3) Reading/Approval of Minutes from BOD meetings

4) Reports of Officers: President, Vice Presidents, and Treasurer

  1. Review of Financials Packages/Invoice Billings--Brian reviewed our Jan MTD financial position, $3700 ahead on expected net income due to invoices not getting paid that were expected in Jan. More info next month as we have little data so far, about $10K short on dues but there are also prepaids. $2K plus savings on mgt fees.
  2. Status of Accounts - Operating/Reserves Eydie is working on lien warnings for top debtor accounts, still collecting back info to make sure proper delinquency notice was given by J and M, they do not appear to have done any delinquency notices except in Oct just before the handoff. Board approved 3 needing lien warnings totaling $3230 to be sent once verifications are made and another 3 accounts already liened totaling $8110 to go to legal for collections once verifications are made. MSP Made by Chase, 2nd by Amanda, passed unanimously. A 7th account who was previously liened and released is back up to $1938 and the board voted to have TMT call them to see if they are on a written and board approved payment plan or are just making extra payments on their own, they have been paying an extra $50 which would achieve payoff in 38 months, If there is no payment plan in place TMT is to get a payment plan proposal for the board to consider, or we will send a lien warning and proceed with collections. While we cannot charge late fees or interest during proc 20-51 the management company can and will charge a $15 processing fee for collections on accounts in arears, charged to the HOA initially and assessed to the delinquent owners, so there are consequences. This may be delayed until April instead of March as stated in the welcome letter due to problems with vantica software that have prevented folks rom starting online accounts. Michelle Saulino of TMT will get back to us on it. 
5) Property Manager’s Report--VP and committee reports
  1. ACC-2 approvals for HVAC since last mtg.
  2. Compliance-
    • software training update--hopefully rolled out app in March
    • Outstanding issues--currently 6 but will begin picking up once app training is done. 
  3. Community Outreach--
    • Newsletter--articles from Marlene and Louis so far. 
    • Valentines event--About 15 households and 27 kids participated which was great since there was a snow storm. Ideas for changes next year.
    • Egg hunt alternatives--Kelly Sesay planning coloring contest and egg distribution by Easter Bunny on Easter Sunday.
    • Plant starter exchange coming soon.
    • Mother's day sip and shop coming soon (with coffee truck?).
  4. Landscaping and Maintenance-
    • Tennis court fence--temporary fix only, bids are outstanding
    • Bollard repair--repaired by John Plakstis, thank you!
    • Mole contract suggested changes--Don walked with vendor, no recommended changes.
  5. Security-
    • LPR update--installed in next couple weeks
    • F-Dub security update--every other day in March, results are good, not not going on, word is getting out about the patrols and it's cutting down on issues. WE will request that the 1st round cars not be tagged anywhere but the dog park as the other areas may be marked as overnight parking not permitted vs Dog park for park use only.
  6. TMT report:
    • Meet and greet with management at 7 tonight
6) Old Business
  • Management change complete, not all assets handed off, what was has been reviewed by the Leightys, keys received do not go to anything here, verified by Michael. per Feb 21 deadline to consult legal Eydie will reach out to legal once there is a comprehensive list of needed items we can demand. Getting quickbooks will be cost prohibitive for enterprise 2020 at over $1200 with a year long commitment. Brian is checking to see if he can access a copy to open and resave our data. All agree that we shouldn't have to spend any money and anything spent to get the data should be pursued for repayment by J and M. The attorney generals office is another option.
  • Main park drainage issues discussed--bids underway, one for $1800, and other $65 time and materials, need to get at least one other bid (premier paving is pending.
  • Entrance tree disposition (replace/fill) on hold until spring 
  • Park rules sign and changes. Include times open. No movement on this, Amanda to get connected with Maryjane Van Cleave for recommendations as she has professional experience in this area.
  • Audits-Chad Partridge, owner and CPA, volunteered to review drafts--status on obtaining books--Still working with Jay Vandal CPA to get the working docs they used. They say they are willing to give us the 2019 and 2019 GL they were provided with (Eydie)
  • New trash hauler suggestion--College hunks hauling junk $109 for appliance size load, continue to try to get free help from owners in this regard
  • Official hoa fb group, new rules/code of conduct in process, Nicole Cooper, Admin, is working on finalizing them this week.
  • Horseshoe pit pending removal--Michael looking into doing this himself one the weather permits.
  • Lock on tennis court and dog park discussion--locks purchased, as well as chain, confirmed we can post online codes but need approval to send out a postcard letting everyone know the process (didn't vote on this, need to open an issue for it), board vote to reimburse Eydie for $41.16 for both MSP Made by Brian, 2nd Chase, passed unanimously 
  • (Exec session) regarding past shortfalls, reserves not saved, and hoa/declarant project expenses in 2020 discussions will continue once we have all GLs to look at expenditures.
  • Tracts still in Kent 160 name, pending quit claim, they have sent over tax forms to sign, we will be having our attorney advise before signing. 
  • Tenant mailer--TMT is looking into how they can provide a list of known rentals and when a sale takes place if it will be a rental, also whether the board has access to see transfers in the Vantaca system for new owner welcomes.
  • Pickle ball court bids, board wants to consider bids for hopscotch and other games at 118th park and ultimately moving 2nd hoop to sport court and adding pickle ball, tennis and BB lines and a net. Brian will seek bids. (Brian)
  • Back entrance no parking zone to be installed by city of Kent--Eydie to follow up, not done yet.
  • Paths cut to 2 feet out, Don to go ahead and buy cutter--cutter bought reimbursement pending
  • Hardy storage shed review (Don) tabled to April
  • Annexation update---Kent council meeting to vote on change to comp plan tomorrow night at 7 (Eydie) 

7) New business 

  • Rules rewrite for park parking for park use only and to include hydrants and any other changes--tabled to April
  • Michael and Brian to be added to the bank accounts to get a debit card for these expenses so we don't have to out out our own money up front going forward. MSP Made by Donella, 2nd Chase, passed unanimously 
  • Vote to change amfam agents  Made by Donella, 2nd Amanda, passed unanimously 
  • Vote to purchase more dogipot bags per last invoice/vendor, or other source if Eydie finds a better price Made by Donella, 2nd Amanda, passed unanimously
  • Laurie resigned as Secretary, Eydie offered to take role as Secretary/Asst. Treas. MSP Made by Donella, 2nd by Louis, passed unanimously
