Minutes of HOA Special Meeting, July 16, 2018

Jerry Campbell, Lanny and Anna Duncan (residents) mistakenly came to this meeting and will come again on July 23 for the regular board meeting. .

The board then met with Eydie and Michael Leighty who own My HOA-online, an HOA management company. After much discussion, we all agreed that we should hire them to manage our HOA. We cannot afford their usual rates ($5 per house per month), but they are willing to work with us at a starting of $1 per house per month until we can build up the treasury.

1. We need to get D&O insurance ASAP. Eydie gave us a couple of recommendations for getting quotes (Jackie will contact both):

2. We need to consult an HOA attorney to get confirmation (hopefully) of Eydie's interpretation of our CC&Rs and By-Laws that we should be requiring the annual dues as well as a couple of other points (Randy, I know you took better notes on this than I did). Also, Randy indicated that he will draft a letter for the attorney. Eydie said that we should tell them that we have $350 to budget for a review of the items we indicate in the letter, and to let us know BEFORE any expenses/time exceed one hour. Randy, please be sure to send them the original dated copies as well as any dated later changes.

3. Assuming that the attorney agrees with Eydie's interpretation, we can move forward to correct several issues:

  • Eydie will send out letters to all residents indicating that the HOA board has been in error all these years and that the dues are required, not optional. Back payment will be forgiven; the new required dues will begin January 1, 2019 (dues payable within 30 days). Dues will return to the original $50 per year with up to 10% annual increases as noted in the CC&Rs.

  • We need to revise the by-laws about several issues. Eydie will give us examples of other HOAs so that we have a common place to begin/react.

4. Other discussed items - MyHOA-online:

  • will populate their database all of our residents from county records.
  • will send out all billings and track paids/unpaids. Anyone not paying on time will receive delinquent penalties (to be determined by the board in the revised by-laws) - will send out all violation notices (determined by the board) and their database will track timelines for correction and completion.
  • will process to the county any necessary liens as a result of non-payment of dues or fines (to be determined by the board in the revised by-laws)
  • will manage a PO box and website for us (we can discontinue Go Daddy and PO box that we have)
  • will complete tax forms and State registration
  • will process two mailings per year as part of our fee (newsletter included too, if we want)

5. HOA Board's responsibilities

  • We will continue to have monthly meetings (Eydie will attend as requested).
  • We will continue to identify/inform (through MyHOA-Online database) when violations
