The Bylaws of Marchini Meadows Homeowners. Association (the 'Association") were adopted by resolution of the Board of Directors on November 24, 2004 (the "Bylaws"). Harbour Homes, Inc. is the owner of all of the lots in the plat of Marchini Meadows and therefore constitutes the only member of the Marchini Meadows Homeowners Association (the "Association"). Therefore, pursuant to section 6.4 of the Bylaws, the undersigned makes the following amendment to the Bylaws:

 

Section 2.8 is hereby deleted in its entirety and replaced with the following:

 

2.8 QUORUM. The presence, in person or by proxy, of twenty percent (20%) of the Owners shall constitute a quorum at meetings of the Association. The members present at a duly called meeting at which a quorum is present may continue to do business until adjournment, notwithstanding the withdrawal of members leaving less than a quorum.

 

All other terms and provisions of the Bylaws are in full force and effect.

 

 

The undersigned, being the President of Marchini Meadows Homeowners Association, hereby certifies that the foregoing is a true and correct copy of Amendment No. I to the Bylaws of the Marchini Meadows Homeowners Association adopted by the resolution of the Board of Directors of the Association on March 15, 2005.
