BYLAWS ARTICLE VII: MEETING OF DIRECTORS
Section 1: Regular Meeting.  Regular meetings of the Board of Directors shall be held at such time and place as the Board of Directors may fix.  If any day fixed for a regular meeting shall be a legal holiday at the time where the meeting is to be held, the meeting shall instead be held at the same hour on the next succeeding business day. Notice of regular meetings of the Board of Directors need not be given except as otherwise required by statute or these By-Laws.
 
Section 2: Special Meetings.  Special meetings of the Board of Directors shall be held when called by the President of the Association, or by any one Director, after not less than ten (10) days notice to each Director.
 
Section 3: Quorum.  A majority of the number of Directors shall constitute a quorum for the transaction of business. Every act or decision done or made by a majority of the Directors present at a duly held meeting at which a quorum is present shall be regarded as the act of the Board.
 
Section 4: Waiver of Notice. Attendance of a Director at a meeting shall constitute a waiver of notice for such meeting, except where a Director attends for the express purpose of objecting to this transaction of any business because the meeting is not lawfully called or convened.  A waiver of notice signed by the Directors whether before or after the time stated for the meeting shall be equivalent to the giving of notice.
